PRESS RELEASE RELEASE DATE: JUNE 23, 1997 For Further Information Contact: Edward How, 703/293/1413 Background Note: InVision Technologies is the trade name used by Radonics®, Inc. for inspection management services provided in the corporate relocation market. U.S. Inspect is a subsidiary corporation of Radonics, Inc. performing inspection services in the general real estate, corporate relocation, and commercial real estate markets. InVision Technologies Finalizes Business Agreement With R.J. Moore & Associates, Inc. FAIRFAX, VA - InVision Technologies and R.J. Moore & Associates, Inc. formalized their agreement last week to allow InVision to purchase some of the retail inspection assets of R.J. Moore. Closing took place on June 16 with a signing ceremony at InVision headquarters. InVision purchased the employment contracts of most of R.J. Moore's retail building consultants and the company's replacement reserve study business for homeowner and condominium associations. InVision Chairman and CEO Keith S. Fimian said the move will give U.S. Inspect, the company's wholly-owned subsidiary for inspections in the general real estate market, an immediate boost. "This agreement allows U.S. Inspect to pursue an employee-consultant strategy in addition to having an established network of top quality subcontractor consultants," Fimian said. "The consultants from R.J. Moore are leaders in their retail inspection markets and will give U.S. Inspect a strong employee-based foothold in several markets." In addition to the purchase agreement between the two companies, R.J. Moore & Associates founder R.J. "Bob" Moore entered into an exclusive consulting agreement with U.S. Inspect. Moore will be responsible for recruiting new employee consultants into U.S. Inspect and will be involved in the extensive consultant training programs being developed by the company. "It is very exciting to be charting a successful course for U.S. Inspect with people like Tom Carroll and Jules Falcone," Moore said. "Like me, Tom and Jules have been part of the inspection industry since its infancy. And now for the first time, we get to work together on the same team." Tom Carroll, formerly of AmeriSpec, is heading the U.S. Inspect network as Director of Operations, Network Development. Fimian formally announced last week that Jules Falcone will assume a new role as Director of Technical Services and Quality Assurance for U.S. Inspect to fill the vital role of "gatekeeper" of inspection quality. InVision President Brian P. Fimian said adding Moore to the mix gives U.S. Inspect more inspection experience and credibility than any other inspection company in the industry. "Our focus is to build the company around people who know what it takes to be successful in the general real estate market," Brian Fimian said. "We have developed unrivaled expertise in the corporate relocation inspection market. The next logical step is retail." Keith Fimian said Mark Atherton has been appointed as Director of Operations/R.J. Moore Transition, responsible for integrating the R.J. Moore consultants into U.S. Inspect.
